These Terms govern your access to Groundwork, a publication of Caliber Media Co., LLC, including its website, newsletters, memberships, directories, research, tools, downloads and related services. By using Groundwork, you agree to these Terms.

Editorial and informational purpose

Groundwork provides reporting, analysis, commentary, research and practical resources for informational and educational purposes. Content is not legal, tax, accounting, investment, cybersecurity, employment or other regulated professional advice. You remain responsible for evaluating information and making decisions appropriate to your organization.

Accounts and eligibility

You must provide accurate information, protect your credentials and promptly notify us of unauthorized access. You are responsible for activity under your account. We may suspend or terminate access for misuse, nonpayment, security concerns or violations of these Terms.

Subscriptions, renewals and cancellation

Paid subscriptions may renew automatically at the interval and price shown at purchase unless cancelled before renewal. Prices and plan features may change prospectively. Except where law requires otherwise or we state a different policy at purchase, fees already paid are nonrefundable. Cancelling stops future renewal and access continues through the paid period.

Acceptable use

You may not interfere with the service; bypass access controls; scrape, copy or redistribute substantial portions of content; share paid access outside the licensed users; use the service to violate law or rights; upload malware; impersonate others; or use Groundwork content or data to train models or build a competing commercial database without written permission.

Intellectual property

Groundwork, Caliber Media and their licensors own the site, branding, editorial content, research, tools, designs and related intellectual property. Subject to these Terms, we grant you a limited, revocable, nonexclusive right to use the service for your own internal professional purposes. No ownership is transferred.

User submissions

You retain ownership of materials you submit. You grant us the rights reasonably necessary to host, review, analyze and use them to provide the requested service. You represent that you have authority to submit the materials and that they do not violate law or third-party rights.

Directories, vendors, advertising and links

Listings, advertisements, sponsorships and links do not constitute endorsement. Editorial conclusions are not purchased by advertisers. Third-party products, claims, terms and privacy practices are controlled by those parties, and you are responsible for evaluating them.

Disclaimers

Groundwork is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, completeness, accuracy, results, hiring outcomes, financial return or suitability for a particular purpose. Analysis may change as facts, products and markets change.

Limitation of liability

To the maximum extent permitted by law, Caliber Media and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost data or business interruption arising from use of Groundwork. Our aggregate liability for a paid service will not exceed the amount you paid for that service during the twelve months preceding the claim.

Indemnification

You agree to defend and indemnify Caliber Media from claims arising from your misuse of the service, violation of these Terms or infringement of another party’s rights.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Courts located in Texas will have jurisdiction unless applicable law requires otherwise.
